Terms

Website & Service Terms

These terms apply to use of the Vendrel Commerce website and to online purchases unless a separate signed proposal, order form or agreement states otherwise.

Website information

Website content is general business information. A website inquiry or free discussion does not create a client relationship, guarantee an outcome or authorize Vendrel to access or modify an account.

Revenue Systems Audit

An online Revenue Systems Audit purchase covers review of the workflow information and materials reasonably provided by the client, identification of material revenue or operations leaks, an automation-fit assessment and an implementation roadmap. It does not include production implementation unless separately agreed.

Cancellation and refunds

If you purchased a Revenue Systems Audit and Vendrel has not begun substantive analysis, you may request cancellation. Once substantive analysis has begun, the fee may be non-refundable or only partially refundable based on work already performed, except where applicable law requires otherwise. Other services follow the refund, cancellation and termination terms in the applicable proposal or order.

Managed services

Recurring or implementation services require an agreed scope. Pricing shown as “from” or “starting at” is not a binding quote for a custom implementation. Scope, integrations, service limits, billing cadence and responsibilities are confirmed before production work begins.

No guaranteed business outcome

Vendrel may improve response speed, workflow consistency, operational quality or follow-up discipline, but revenue, rankings, sales, conversion rates and other business outcomes depend on factors outside Vendrel's control and are not guaranteed.

Client responsibilities

Clients are responsible for providing lawful access, accurate instructions, appropriate permissions and timely decisions for workflows they authorize. Clients remain responsible for their own legal, regulatory, employment, tax, accounting and professional obligations.

Bounded automation

Vendrel may automate routine actions within agreed rules. Sensitive, disputed, exceptional, regulated or irreversible matters may be escalated for human review. Vendrel does not provide legal, medical, financial or debt-collection advice through a general automation service.

Payments

Online payments may be processed through Stripe. Recurring services may be billed automatically when the applicable order authorizes recurring billing. Failure or cancellation of a payment does not create an obligation for Vendrel to begin or continue unpaid work.

Acceptable use

You may not use Vendrel systems to submit unlawful content, attempt unauthorized access, interfere with service availability, impersonate others or instruct Vendrel to perform actions you are not authorized to request.

Intellectual property

Vendrel branding, general-purpose workflows, software, methods and original materials remain protected by applicable intellectual-property law. Client-specific ownership and licenses may be further defined in an applicable service agreement.
